◆Summary:
In 2023, US antitrust enforcers have adopted new policies and proposed rules to significantly change the process for M&A antitrust review. Recent changes also impact compliance requirements for JVs and other less-formal competitor collaborations, including data exchanges through third parties. This seminar will cover what Japanese businesses need to know about these changes in US antitrust law, including:
• Major changes proposed to pre-merger “HSR” filing requirements, which will dramatically expand the information and documents businesses must provide.
• New merger guidelines to evaluate whether M&A is likely to be cleared or challenged by the US antitrust agencies.
• Withdrawal of longstanding “safety zones” that protected certain data sharing, joint purchasing, and other competitor collaborations from challenge by US antitrust agencies.
We will discuss what businesses must do to comply with new rules, and how businesses can best position themselves for a smooth antitrust review process to get their deals approved.

Kevin Goldstein is an antitrust lawyer and litigator who provides counsel in all areas of antitrust law, including civil litigation, government investigations, and mergers. He specializes in defending clients in high-stakes contested matters, including in class actions, multidistrict litigation, civil and criminal investigations, and other private litigation and arbitration. Kevin has built a strong antitrust practice handling U.S. federal and state antitrust issues, including defending against claims of price-fixing, illegal vertical agreements, monopolization, and no-poach violations. He also has counseled clients on data exchanges, JVs and competitor collaborations, pricing and distribution issues, and a wide array of other antitrust issues. He also has significant experience working with the U.S. FTC, DOJ Antitrust Division, and state attorneys general both to defend conduct investigations and to obtain regulatory approvals for complex transactions. Kevin is also adept at multijurisdictional cartel and merger defenses, with experience coordinating defense between the United States and jurisdictions including the EU, Japan, Korea, Canada, Mexico, Brazil, China, and South Africa. He also has experience with a wide range of industries including automotive, chemicals, consumer electronics, financial services, food and agriculture, health care and insurance, medical devices, music licensing, pharmaceuticals, publishing, radio, retail, and semiconductors.
Kevin in a leader in Winston’s industry-leading Japan Practice. He first lived and studied in Japan as a teenager, and has regularly visited Japan throughout his legal career. He regularly advises Japanese companies on antitrust compliance, transactional, and dispute matters. Kevin serves on the Board of Directors of the Japan America Society of Chicago.
Kevin also serves as Chair of the Chicago Bar Association Antitrust Committee.
He has been recognized as a “Rising Star” for Antitrust Litigation by Super Lawyers for several years running and named to Best Lawyers: Ones to Watch in America for Antitrust Law from 2021-2023.
